# Terms & Conditions – Mia Project

## 1. Acceptance of Terms

By accessing and using Mia Project (“Service”), you accept and agree to be bound by and comply with these Terms & Conditions. If you do not agree, do not use the Service.

## 2. Service Description

Mia Project provides AI companion agents with persistent memory, conversation history, multi-channel integration (email, calendar, SMS, voice, etc.), and specialized support for elderly and special needs users.

Service tiers:
– **Base Agent** — core conversation, email, calendar, basic context
– **Pro Agent** — Base + web search, image analysis, Drive integration, higher API limits
– **VIP Agent** — Pro + voice, custom integrations, priority support

## 3. User Accounts

### 3.1 Registration
You must provide accurate, complete information. You are responsible for maintaining your login credentials confidentiality.

### 3.2 Prohibited Uses
You agree NOT to use the Service to:
– Violate any laws or regulations
– Harass, abuse, or harm others
– Create illegal content (CSAM, violence, etc.)
– Spam or phishing
– Reverse-engineer or hack the system
– Exceed rate limits intentionally
– Use automated tools without permission

### 3.3 Suspension
We may suspend or terminate your account if you violate these terms or laws.

## 4. API Keys & Your Responsibility

### 4.1 Your Own Keys
If you provide your own API keys (OpenAI, Anthropic, etc.):
– You are solely responsible for protecting them
– You authorize us to use them only to provide the Service
– You are responsible for all usage charges from your API provider
– You can revoke access at any time

### 4.2 Our Managed Service
If you use our managed API service:
– You provide your credit card for billing
– We charge 20% on top of your API usage costs
– The extra 20% funds Mia Global Initiative (see Privacy Policy)
– Youre billed monthly based on actual usage

## 5. Billing & Payment

### 5.1 Pricing
Prices are listed on our website and may change with 30 days notice.

### 5.2 Billing Cycle
– Monthly billing for subscription tiers (Base/Pro/VIP)
– Usage-based billing for API costs (if managed service)
– Charges automatically to your card each month

### 5.3 Failed Payments
If payment fails:
– Well attempt 3 times over 5 days
– If unsuccessful, your access is suspended
– Account may be terminated after 30 days non-payment

## 6. Refunds

### 6.1 Subscription Tiers
– 14-day money-back guarantee if unsatisfied
– Pro-rata refunds if you downgrade mid-month
– No refunds for API usage costs (theyre actual usage)

### 6.2 Managed API Service
– No refunds for API usage — its based on actual consumption
– You can switch to “bring your own key” anytime

## 7. Text Message (SMS) Terms

### 7.1 SMS Service
If you opt into SMS notifications, you consent to receive automated text messages from Mia Project, including:
– Medication reminders
– Appointment reminders
– Wellness check-ins
– Time-sensitive notifications
– Birthday and event reminders

### 7.2 Message & Data Rates
**Message and data rates may apply**, depending on your mobile phone service plan.

### 7.3 Message Frequency
Message frequency varies based on your preferences and settings. You control which types of reminders you want to receive.

### 7.4 Opt-Out Instructions
**To opt out of SMS messages, reply STOP, UNSUBSCRIBE, or END to any message, or change your preferences in the app.**

We will honor all opt-out requests within 48 hours.

### 7.5 Customer Support
**For help with SMS messages, reply HELP or SUPPORT to any message, or contact support@miaproject.org.**

### 7.6 Carrier Liability
**Carriers are not liable for any delayed or undelivered messages.**

### 7.7 SMS Consent
Your SMS opt-in is:
– Completely voluntary
– Separate from other terms and conditions
– Not required to use the app
– Manageable at any time through your account settings

## 8. Intellectual Property

### 8.1 Your Content
– Your conversations are yours
– You retain all rights to what you share with your agent
– We can use anonymized/aggregated data to improve the Service

### 8.2 Our IP
– Mia Project software, algorithms, and documentation are ours
– You may not copy, modify, or distribute without permission

## 9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

– Mia Project is provided “AS IS” without warranties
– We are not liable for indirect, incidental, or consequential damages
– Our total liability is limited to what you paid us in the last 12 months
– Some jurisdictions dont allow liability limitations; laws may vary

We are NOT liable for:
– Data loss or corruption (keep backups)
– Third-party service failures (OpenAI, Google, Twilio, etc.)
– Unauthorized access due to your negligence
– Service interruptions or downtime
– Delayed or undelivered SMS messages

## 10. Data Deletion & Account Termination

### 10.1 Your Termination
You can delete your account anytime. All data is deleted per our Privacy Policy (within 30 days).

### 10.2 Our Termination
We may terminate your account if you:
– Violate these Terms
– Engage in illegal activity
– Abuse the Service
– Fail to pay for 30+ days

Upon termination, you lose access immediately. Data deletion follows our Privacy Policy timeline.

## 11. Third-Party Services

We integrate with:
– OpenAI, Anthropic (LLM providers)
– Google (Calendar, Drive, Gmail)
– Stripe (payments)
– Twilio (SMS)

You agree to their Terms of Service as well. Were not responsible for their actions.

## 12. Modifications to Service

We may:
– Add, remove, or change features
– Update pricing (30 days notice)
– Modify these Terms (30 days notice)

Continued use after changes = acceptance of new terms.

## 13. Privacy & Communications

Our Privacy Policy is incorporated into these Terms by reference. Please review it at https://miaproject.org/privacy-policy

## 14. Governing Law

These Terms are governed by Texas law, without regard to conflict of laws.

Disputes will be resolved in Texas state courts. You waive jury trial rights.
